Governing law and dispute resolution

1. Acceptance of Terms

By downloading, installing, or using the NuviaMind mobile application ("App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the App or related services. Continued use constitutes acceptance of updates or changes.

2. Description of Service

NuviaMind provides AI-powered tools for personal wellness, including coaching, journaling, meditation, sleep and mood tracking, and health integrations.

  • These services are for self-help and personal development only.
  • NuviaMind is not a substitute for medical or mental health treatment.

3. User Accounts

To access features, you may be required to create an account. You agree to:

  • Provide accurate and up-to-date information.
  • Maintain confidentiality of login credentials.
  • Accept responsibility for all activities under your account.
  • Notify us immediately of unauthorized access.

4. Privacy and Data Protection

Your privacy is governed by our Privacy Policy (incorporated by reference). By using the App, you consent to data collection, storage, and processing in line with that policy.

5. Subscription Services

  • Free and paid (Premium) tiers are available.
  • Premium subscriptions are billed via the Apple App Store or Google Play Store.
  • Subscriptions auto-renew unless canceled through your app store before renewal.
  • Refunds and billing disputes follow the app store's policies.

6. Medical Disclaimer

  • β€’ Do not delay or disregard professional advice because of the App.
  • β€’ If you are experiencing a crisis, call 911 or your local emergency services.

7. Refund Policy

  • Refunds only within 1 day of subscribing.
  • Requests must be submitted through your app store.
  • Beyond this period, payments are non-refundable unless required by law.

8. Prohibited Uses

You may not:

  • Hack, disrupt, or misuse the App.
  • Upload illegal, abusive, or harmful content.
  • Infringe on rights, privacy, or safety of others.
  • Circumvent security measures.
  • Use the App for commercial, unauthorized, or unlawful purposes.

9. Intellectual Property

  • All content, branding, features, and functionality of NuviaMind are owned by NuviaMind or licensors.
  • You may not copy, distribute, modify, reverse engineer, or exploit content without written consent.

10. Limitation of Liability

To the fullest extent permitted by law, NuviaMind is not liable for:

  • Indirect, incidental, special, or consequential damages.
  • Losses caused by reliance on AI recommendations.
  • Service interruptions, bugs, or outages.
  • Failures due to third-party services, devices, or internet connections.
  • Force majeure events beyond our control.

11. Schools & Student Use

If you enroll through a school or educational institution:

  • Schools may access aggregated reports or dashboards to support student wellbeing.
  • Students may choose to enroll directly to keep their data private.
  • For minors, sharing requires parental consent and compliance with laws (FERPA, COPPA, GDPR).
  • Schools only access data in compliance with applicable laws and explicit consent.

12. Beta Features & Experimental Tools

  • Certain features may be released in beta.
  • Beta features are provided "as is", may contain bugs, and can be withdrawn at any time.

13. Third-Party Services & Integrations

  • The App may integrate with Apple Health, Google Fit, or other services.
  • These integrations are optional and subject to third-party terms.
  • We are not responsible for their accuracy, security, or availability.
  • Billing and subscriptions follow Apple/Google policies.

14. AI Output Disclaimer

  • Some content is generated by AI and may not be accurate, complete, or appropriate.
  • AI recommendations are for support only and not professional advice.

15. Export Control & Sanctions Compliance

You may not use NuviaMind if you are:

  • Located in a country subject to U.S. or EU sanctions.
  • On a government restricted-party list.

16. User Responsibility for Devices & Connectivity

You are responsible for:

  • Maintaining a compatible device and updated OS.
  • Internet access required for the App.
  • Device security (passwords, antivirus, etc.).

We are not liable for issues caused by your hardware, OS, or network.

17. Data Storage & Retention

  • Data is stored securely in U.S./EU facilities.
  • Deleted accounts are purged within 30 days (subject to backup delays).
  • Some anonymized data may be retained for analytics and compliance.

18. Marketing & Communications Consent

By using the App, you agree to receive:

  • Service and security notifications.
  • Account and billing updates.
  • Wellness tips or marketing (with opt-out options).

19. Feedback & Suggestions

By submitting feedback, you grant NuviaMind a royalty-free, perpetual license to use, modify, and incorporate suggestions without obligation.

20. Business Transfers

If NuviaMind is acquired, merged, or sold, your data and account may be transferred under the same protections.

21. Dispute Resolution & Governing Law

  • Governed by the laws of Delaware, United States, unless otherwise required.
  • U.S. users agree to binding arbitration (except small claims).
  • Class Action Waiver: You waive the right to participate in class actions.

22. Severability & Waiver

  • If a provision is invalid, the rest remain enforceable.
  • Failure to enforce rights does not waive them.

23. Entire Agreement

These Terms + the Privacy Policy form the entire agreement between you and NuviaMind, superseding prior agreements.

24. Survivability

Sections on Intellectual Property, Limitation of Liability, Dispute Resolution, Governing Law, and Feedback survive termination.

25. Accessibility Commitment

NuviaMind strives to comply with WCAG standards for accessibility.

26. Children's Privacy & COPPA Compliance

  • We do not knowingly collect data from children under 13 without parental consent.
  • Parents may request deletion of underage accounts.
  • Local parental consent laws apply (FERPA, GDPR-K, COPPA).

27. App Store Compliance

  • Subscriptions, payments, and refunds are also subject to Apple App Store and Google Play rules.
  • NuviaMind is not responsible for app store billing disputes.

28. Community & Conduct (Future Features)

If community features (peer support, groups, or chat) are introduced, users agree to:

  • Engage respectfully and avoid harassment.
  • Not post medical advice or unsafe content.
  • Comply with moderation rules.

29. Termination of Service

  • We may suspend or terminate accounts that violate Terms, laws, or policies.
  • You may terminate by deleting your account.
